Fiserv Managing Counsel, Legal in Alpharetta, Georgia

Position Description

WHAT DOES A GREAT MANAGING COUNSEL DO?

  • You will prepare, review and negotiate client technology contracts

  • Provide counsel to senior leadership executives on all legal and risk matters impacting their areas of responsibility.

  • You will also participate in all strategy, operations and management sessions with leadership of supported businesses.

  • Supervise and lead contract administrators who also negotiate client and vendor contracts and statements of work, including day to day coaching/mentorship with respect to supervised employees.

  • Anticipate and guard against legal risks involving the business.

  • Coordinate with Fiserv international legal associates and/or take lead with respect to sales of software and product solutions in certain international jurisdictions.

  • Establish trusted advisor relationships with senior business leaders through effective legal advice, communication and conduct;

  • Understand Fiserv contracting standards and enterprise risk thresholds and issues.

  • You would independently perform risk mitigation and appropriately advance risks in new and legacy agreements and other business matters without significant oversight.

  • Liaise with corporate specialists regarding audit, tax, publicity / press, intellectual property (including patent applications), and privacy and technology matters that affect the business.

  • Evaluate and suggest ongoing improvements to contracting and other Legal Department procedures and standards based on experience and ongoing learning.

  • Maintain knowledge of industry standard methodologies; keep abreast of existing and proposed legislation affecting the business and provide related advice to the business.

  • Lead disputes related to the businesses with support of corporate in-house litigators.

  • Participate in legal actions of a sensitive and highly complex nature.

  • Review and approval of corporate communications, assuring compliance with applicable laws and statutes.

  • Travel Occasional (5-10%)

  • Performance of other duties as necessary or requested.

BASIC QUALIFICATIONS FOR CONSIDERATION:

  • Law Degree from accredited law school

  • Licensed to practice law in and in good standing with appropriate jurisdiction

  • At least ten (10) years of legal experience, including relevant experience with a large law firm or corporation

  • Significant experience leading complex commercial and technology negotiations and contracting.

  • Prior managerial experience of legal staff (or strong mentoring relationship)

  • Experience in effectively interacting with senior management

  • Experience managing outside counsel

PREFERRED QUALIFICATIONS FOR CONSIDERATION:

  • Excellent academic record

  • International legal experience a plus

  • Business Acumen – Background in financial services industry or technology, business-minded orientation with a genuine interest in learning, understanding and contributing to the strategic direction of the business.

  • Technology Services and Software Licensing – Strong knowledge of laws and regulations applicable to corporations in general, specifically technology services and software licensing companies.

  • Risk Mitigation – Able to identify potential risks through individual and collective projects, and undertake dedicated efforts to identify and implement potential solutions or mitigations for such risks.

  • Leader and Team Player – Demonstrated ability to effectively lead and manage people and consistently contribute in a team setting.

  • Solid interpersonal skills, including the ability to pick up on nuances of client interaction and communications.

  • Execution Focused –Exceptional writing, conceptual design, presentation and negotiation skills. Demonstrates the ability to manage multiple tasks in a fast-paced environment, be organized and detail oriented.

  • Strong project management skills.
